1. Incorporation into Terms of Service
This Refund Policy is incorporated into and forms part of the VERTIXIQ Terms of Service. In the event of a conflict between this Refund Policy and the VERTIXIQ Terms of Service, the VERTIXIQ Terms of Service control unless expressly stated otherwise.
2. General Refund Policy
All fees are billed in advance and are non-cancelable and non-refundable for the then-current Subscription Term, except as expressly required by applicable law, expressly stated in an applicable Order Form or Statement of Work signed by Company, or expressly stated in this Refund Policy.
No credits, offsets, prorated refunds, or partial billing adjustments will be provided for unused Services, partial use, downgrades, suspension, or termination by Subscriber during the then-current Subscription Term.
If Subscriber cancels a Subscription, the cancellation takes effect at the end of the then-current Subscription Term, and Subscriber will retain access to the Services through the end of the Subscription Term already paid for.
3. Refund Treatment by Service Type
3.1 Services Not Governed by an Applicable Order Form or Statement of Work
Except as expressly required by applicable law, fees for Services not governed by an applicable Order Form or Statement of Work are non-cancelable and non-refundable.
No credits, offsets, prorated refunds, or partial billing adjustments will be provided for cancellation, downgrade, suspension, or reduced usage during the then-current Subscription Term.
3.2 Services Governed by an Applicable Order Form or Statement of Work
Refund rights, if any, for Services governed by an applicable Order Form or Statement of Work are determined solely by the applicable Order Form or Statement of Work.
Nothing in this Refund Policy creates any refund right for any Service governed by an applicable Order Form or Statement of Work except to the extent expressly stated in the applicable Order Form or Statement of Work or required by applicable law.
4. Chargebacks and Payment Disputes
If Subscriber initiates a chargeback, payment reversal, or other payment dispute relating to fees due under the VERTIXIQ Terms of Service, Company may suspend or restrict access to the affected Services while the dispute is pending.
If the dispute is resolved in Company’s favor, Company may restore access upon payment of all outstanding amounts.
If the dispute is resolved in Subscriber’s favor, Company will have no obligation to continue providing the affected Services except as otherwise agreed in writing.
Nothing in this Refund Policy limits either party’s rights under applicable law or applicable card network rules.
5. Free Trials
If Company offers a free trial, the applicable trial period, eligibility requirements, automatic conversion terms, applicable fees that will be charged after the trial ends, and the date of the first charge will be disclosed to Subscriber at the time of enrollment.
If Subscriber does not cancel before the free trial period ends, the applicable subscription will automatically convert to a paid subscription and Company or its designated payment processor may charge the applicable payment method for the fees disclosed at enrollment.
6. Payment Processor and Billing Disclosures
Company may use one or more designated payment processors to process subscription fees, renewals, and other authorized charges.
Subscriber is responsible for maintaining a current, complete, and valid payment method on file, where applicable.
Refund eligibility, if any, is determined solely under the VERTIXIQ Terms of Service, this Refund Policy, any applicable Order Form or Statement of Work, and applicable law, and not by any payment processor’s internal procedures.
7. Exceptions Required by Law
Nothing in this Refund Policy limits any refund right or other right that cannot be waived under applicable law.
Where applicable law requires a refund or other remedy, Company will provide such refund or remedy only to the extent required by such law.
